These Distributor Program Terms (“Terms”) govern participation in the ONSOLAR Authorized Distributor Program (“Program”) operated by ONSOLAR INC., a Delaware corporation (“ONSOLAR,” “we,” “our,” or “us”).
By applying to or participating in the Program, you agree to be bound by these Terms.
1. PROGRAM OVERVIEW
The ONSOLAR Authorized Distributor Program is designed to establish a global network of qualified business partners authorized to purchase, resell, and distribute ONSOLAR products within approved territories.
Participation in the Program does not constitute employment, franchise, or joint venture relationship with ONSOLAR.
2. ELIGIBILITY REQUIREMENTS
To qualify as an authorized distributor, applicants must:
Be a legally registered business entity
Demonstrate experience in renewable energy, electrical systems, or related industries
Meet minimum order requirements
Comply with ONSOLAR technical and commercial standards
Operate within an approved territory (subject to availability)
ONSOLAR reserves the right to approve or reject any application at its sole discretion.
3. MINIMUM ORDER REQUIREMENT (MOQ)
All distributors are required to meet a minimum initial order of USD $10,000.
Additional ongoing purchase requirements may apply based on territory, demand, and commercial agreement.
4. TERRITORY EXCLUSIVITY
Authorized distributors may be granted territorial rights on an exclusive basis, subject to:
Market evaluation
Performance criteria
Sales volume requirements
Strategic business considerations
Exclusivity is not automatic and must be formally granted in writing by ONSOLAR INC.
ONSOLAR reserves the right to modify, expand, or reassign territories based on business needs.
5. PRODUCT PURCHASE AND INVENTORY
Distributors purchase ONSOLAR products directly for resale within their assigned territory.
All inventory purchases are final and non-refundable unless otherwise agreed in writing.
Distributors are responsible for:
Importation (if applicable)
Local distribution
Customer support
After-sales service coordination
6. PRICING AND MARGINS
Distributor pricing is provided under confidential commercial terms.
ONSOLAR reserves the right to adjust pricing structures, product availability, and commercial conditions at any time.
Resale pricing policies may be recommended but are not strictly enforced unless otherwise specified.
7. BRAND USAGE
Authorized distributors may use ONSOLAR branding materials only as approved by ONSOLAR INC.
Any misuse of trademarks, logos, or marketing materials may result in immediate termination of distributor status.
8. PERFORMANCE REQUIREMENTS
Distributors may be required to meet minimum performance standards, including:
Sales volume targets
Market development activity
Customer support standards
Failure to meet performance expectations may result in loss of exclusivity or termination of distributor status.
9. TERMINATION
ONSOLAR reserves the right to suspend or terminate distributor status at any time if:
Terms are violated
Payment obligations are not met
Brand reputation is compromised
Fraud or misconduct is detected
Performance requirements are not fulfilled
Termination does not relieve outstanding payment obligations.
10. LIMITATION OF LIABILITY
ONSOLAR shall not be liable for indirect, incidental, or consequential damages arising from participation in the Program.
Total liability, if any, shall be limited to the amount paid directly to ONSOLAR by the distributor.
11. NO GUARANTEE OF SUCCESS
ONSOLAR does not guarantee sales volume, profitability, market success, or business performance for any distributor.
12. MODIFICATIONS
ONSOLAR reserves the right to update or modify these Terms at any time without prior notice.
Continued participation in the Program constitutes acceptance of updated Terms.
